The terms and conditions governing use of School Flux's software and website.
These Terms of Service ("Terms") govern your access to and use of the website, software, and services provided by School Flux ("the Company", "we", "our", "us"), an edtech company registered in Uganda. By accessing our website or using our software, you agree to be bound by these Terms.
School Flux is an educational technology company that designs, builds, and provides school management software for educational institutions in Uganda and across Africa. Our software is delivered as a managed service, with onboarding, training, and ongoing support provided by our team.
By using this website or entering into a service agreement with School Flux, you confirm that you have read, understood, and agree to these Terms. If you are entering into an agreement on behalf of an institution, you represent that you have the authority to bind that institution to these Terms.
School Flux provides the following services to client institutions:
The specific scope of services, pricing, and terms for each client institution are agreed in a separate Service Agreement.
Our software is licensed solely for use by the institution named in the service agreement. You agree to:
Your institution is responsible for managing user accounts and access credentials. You must notify School Flux promptly if you become aware of any unauthorised access to your account. We reserve the right to suspend or terminate access to accounts in the event of a breach of these Terms.
All institutional data entered into the School Flux platform (student records, staff data, financial records, etc.) remains the property of your institution. School Flux processes this data solely to provide the agreed services. You are responsible for the accuracy, legality, and appropriateness of the data you enter into our systems.
School Flux handles all personal data in accordance with our Privacy Policy and applicable data protection laws. As a data processor, we implement appropriate technical and organisational safeguards to protect the data entrusted to us by client institutions.
All software, technology, designs, branding, and content created by School Flux are the intellectual property of School Flux and/or Oppem Systems. No part of our software or website may be copied, reproduced, distributed, or created into derivative works without our prior written consent.
Fees for our services are as agreed in the individual Service Agreement with each client institution. Payments are due on the dates specified in that agreement. Failure to make timely payments may result in suspension of access to the platform. All fees are non-refundable unless otherwise stated in the Service Agreement.
We aim to maintain high availability of our software but do not guarantee uninterrupted access. We will notify clients in advance of planned maintenance. We are not liable for disruptions caused by factors outside our reasonable control, including internet service provider failures, power outages, or force majeure events.
To the maximum extent permitted by applicable law, School Flux shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of our software or website. Our total liability to any client shall not exceed the fees paid to School Flux in the three months preceding the claim.
Either party may terminate the service agreement with written notice as specified in that agreement. Upon termination, your access to the software will be suspended. Client data will be made available for export and then securely deleted within 90 days of termination.
We may update these Terms from time to time. We will notify clients of material changes with reasonable advance notice. Continued use of our services after the effective date of updated Terms constitutes acceptance of those Terms.
These Terms are governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Uganda.
